[edit] Board Meetings

Unless otherwise specified the board decides with simple majority. A board meeting must be announced at least 7 days in advance, unless all board members agree otherwiese.



[edit] Article # - Board - Attributions

Delete "Any major decision of the Board should be discussed with the DebConf Team and the DebConf Chairs.". This is redundant to Art. 4

Change last paragraph: For the following decisions that board has to agree with a two-third majority and the Debconf Team has to be consulted before taking the decision:

  • decide upon any expense above 1'000 CHF.
  • sign contracts in the name of the association, if the contract implies expenses above 1'000 CHF

New paragraph: The president, the treasurer and the secretary are each entitled to sign contracts in the name of the association jointly together with at least one other member of the board.

[edit] Financial Year - Idea

Ideally we only have one financial year on the lifetime of the association. One possibility is: First year starts now and ends at the end of next year.

Or it is from September-August. But this is probably too short to close all accounts.

let's keep January, and we could use the opportunity to have the first fiscal year longer (IIRC 18 month maximum). Anyway I doubt we can close all the accounts on December 2013. Cate 13:01, 5 September 2012 (UTC)

[edit] Generalities

I would like to add (both not really necessary, an AGM could easily overridden, but for transparency and intent), and it was also a concern of DPL:

  • The association is time limited: to end 2014. AGM could extend the limit if needed to close account or get reimbursements.
  • The fund of the association at dissolution time should go to debian.ch or a similar non-profit organization in Switzerland or abroad.

I have read the proposed statutes, and find them appropriate (well done!). My only concern is: is it wanted to have moral persons in the association (currently only physical) ?

Having moral persons may allow that moral entity to design a person as its delegate and avoid the "XXX must consult with Debian etc" in the statutes.
